Please read these Terms and Conditions carefully before entering the $1,000,000 Ultimate Vacation Giveaway (the "Sweepstakes"). By submitting an entry, you fully and unconditionally agree to be bound by these Terms and Conditions and represent that you meet all eligibility requirements. If you do not agree with any provision of these Terms and Conditions, you may not participate in the Sweepstakes.

1. Eligibility:
The Sweepstakes is open to legal residents of the United States who are 18 years of age or older at the time of entry. Employees, officers, and directors of [TUBL - The Ultimate Bucket List] and their immediate family members and household members are not eligible to participate.

2. Sweepstakes Period:
The Sweepstakes begins on [July 1, 2023] at [12:00AM] and ends on [July 1, 2024] at [12:00AM] (the "Sweepstakes Period"). All entries must be received within the Sweepstakes Period to be eligible.

3. How to Enter:
To enter, visit the official Sweepstakes website at [https://nominate.ultbucketlist.com/] (the "Website") during the Sweepstakes Period and complete the entry form by providing the required information. Entrants must nominate travel and hospitality industry establishments in one or more of the following four categories:

a. Dining (restaurants, vineyards, taste tours, etc.)

b. Lodging (bed & breakfasts, hotels, retreat spas, etc.)

c. Experiences (guided tours, activities, etc.)

d. Shopping (unique or high-end, bespoke retailers with a physical storefront)

4. Qualifications for Valid Entries:
To earn a valid entry and a chance to win, nominations must meet the following qualifications:

a. Nomination must belong to one of the four categories defined above.

b. Nomination must be for a unique, non-major-franchise establishment.

c. Nomination must have a 4-STAR rating online with at least 10 reviews from independent websites such as Google My Business or others.

d. Accurate, current contact information for the nominee must be be provided by the entrant at time of nomination.

Please note that the final determination of whether a nomination meets these qualifications will be at the sole discretion of the Sweepstakes Organizer.

5. Winner Selection and Notification:

One (1) potential winner will be selected at random from all eligible entries received during the Sweepstakes Period. The drawing will take place within seven (7) days after the end of the Sweepstakes Period. The potential winner will be notified by email or phone within seven (7) days of the drawing date. If the potential winner does not respond within seven (7) days of the initial notification, an alternate winner may be selected.

6. Prize:
The prize consists of a $1,000,000 Ultimate Vacation, to be awarded in the form of luxury travel, accommodation reservations, service opportunities, planned adventures, fine dining, and other arrangements as determined by the Sweepstakes Organizer. The specifics of the prize will be communicated to the winner upon verification and acceptance of the prize. The winner is solely responsible for any taxes, fees, or other expenses associated with the prize, however, all efforts will be made to ensure taxation is legally avoided for the winner of this sweepstakes.

7. General Conditions:
The Sweepstakes Organizer reserves the right to modify, suspend, or terminate the Sweepstakes at any time without prior notice. The Sweepstakes Organizer also reserves the right to disqualify any individual who tampers with the entry process or violates these Terms and Conditions. The Sweepstakes Organizer's decision regarding all aspects of the Sweepstakes is final and binding.

8. Privacy:
Any personal information submitted in connection with the Sweepstakes will be used solely for the purpose of administering the Sweepstakes and awarding the prize, and/or for promotional purposes regarding The Ultimate Bucket List, unless otherwise indicated by the entrant.

By entering the Sweepstakes, you consent to the collection, use, and disclosure of your personal information by the Sweepstakes Organizer for the purposes stated above. Your information will not be shared with other companies or individuals, except for an independent sweepstakes management firm, hired to select the winner as a neutral, third-party. 9. Release and Limitation of Liability:
By participating in the Sweepstakes, you agree to release and hold harmless the Sweepstakes Organizer, its affiliates, partners, officers, directors, employees, and agents from any and all liability for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or acceptance, possession, or use of the prize.

10. Disputes:
Any disputes arising out of or relating to the Sweepstakes shall be governed by and construed in accordance with the laws of the state of [Utah], without regard to its conflict of law principles. Any legal actions, suits, or proceedings arising out of the Sweepstakes shall be brought exclusively in the federal or state courts located within the state of [Utah].
